Welcome to Hyriki. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Hyriki ("we", "us", or "our") governing your access to and use of the Hyriki website, mobile applications, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

3. User Accounts and Security

When creating an account, you must provide accurate, current, and complete information. You agree to promptly update your account information to maintain its accuracy. Providing false, misleading, or outdated information may result in immediate termination of your account.
3.2 Account Security
You are solely responsible for:

We will not be liable for any loss or damage arising from your failure to maintain account security.
3.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions or manipulate the Service is strictly prohibited and may result in termination of all accounts.
4. User Content and Licensing

You retain all ownership rights to content you submit, post, or upload to the Service ("User Content"), including but not limited to resumes, cover letters, job postings, company profiles, assessments, messages, and other materials.
4.2 License Grant
By uploading User Content, you grant Hyriki a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and improving the Service. This license continues even after you stop using the Service for content that has been shared with other users.
4.3 Content Responsibilities
You represent and warrant that:
- You own or have the necessary rights to submit your User Content
- Your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights
- Your User Content complies with these Terms and all applicable laws
- Your User Content does not contain viruses, malware, or other harmful code
4.4 Content Monitoring
We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable. We do not endorse any User Content or opinions expressed by users.
5. Acceptable Use Policy

- Misrepresenting your affiliation with any person or organization
- Harassing, stalking, or threatening other users
- Collecting or harvesting personal information of other users
- Using the Service for any illegal purpose or to facilitate illegal activities
- Attempting to manipulate hiring decisions through fraudulent means
6. Services for Employers and Candidates
6.1 Hiring Tools and Decision Support
Hyriki provides tools for job posting, candidate assessments, applicant tracking, screening, and hiring decision support. These tools are designed to assist in the recruitment process but do not replace human judgment, evaluation, or decision-making.
6.2 Employer Responsibilities
Employers are solely responsible for:
- All hiring decisions made using the platform
- Compliance with employment laws, anti-discrimination laws, and fair hiring practices
- Verifying candidate qualifications, credentials, and references
- Ensuring job postings are accurate, lawful, and non-discriminatory
- Handling candidate data in accordance with applicable privacy laws
6.3 Candidate Responsibilities
Candidates are solely responsible for:
- Accuracy and truthfulness of information provided in applications and profiles
- Obtaining necessary permissions before providing references or third-party information
- Evaluating job opportunities and making informed decisions
- Direct communication and negotiation with prospective employers
6.4 No Employment Relationship
Hyriki is a platform that facilitates connections between employers and candidates. We are not a party to any employment relationship, contract, or agreement between users. We do not employ, recommend, endorse, or guarantee any candidate or employer.
7. Payments and Billing
7.1 Pricing and Plans
Certain features of the Service may require payment. Pricing for paid plans is displayed on our website and is subject to change with reasonable notice. By subscribing to a paid plan, you agree to pay all applicable fees according to the pricing and billing terms in effect at the time.
7.2 Billing and Payment Methods
You authorize us to charge your provided payment method for all fees. You are responsible for providing current, complete, and accurate billing information. If payment fails, we may suspend or terminate your access to paid features.
7.3 Automatic Renewal
Subscription plans automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
7.4 Refunds
All payments are final and non-refundable unless otherwise required by law or explicitly stated in our refund policy. We do not provide refunds for partial subscription periods or unused services.
7.5 Taxes
You are responsible for any applicable taxes, duties, or government charges. If we are required to collect or pay taxes, they will be charged to your payment method.
8. Intellectual Property Rights

The Service, including all software, algorithms, designs, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and the overall'look and feel' of the Service, is owned by Hyriki and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include any right to:

- No refunds will be provided for unused subscription periods unless required by law

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYRIKI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.
This limitation applies to damages arising from:

- Hiring decisions made using the Service
- Conduct or content of other users

- Errors, mistakes, or inaccuracies in content
- Service interruptions or security breaches
In no event shall Hyriki's total liability to you for all claims exceed the greater of $100 USD or the amount you paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Hyriki, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms or any applicable law
- Your User Content or any content you submit
- Your violation of any rights of another party
- Your hiring decisions or employment practices
- Any claim that your User Content caused damage to a third party
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before filing a formal claim, you agree to first contact us at legal@hyriki.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least 30 days.
15.2 Binding Arbitration
If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the applicable arbitration authority in your jurisdiction.
15.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Hyriki individually. To the fullest extent permitted by law, you waive your right to participate in a class action lawsuit or class-wide arbitration.
15.4 Exceptions
Either party may seek equitable relief in court to protect intellectual property rights or confidential information.
16. Governing Law and Jurisdiction

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
18.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, government actions, natural disasters, or network outages.
18.6 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, limitations of liability, dispute resolution, and general provisions.
18.7 Language
These Terms may be translated into other languages. In the event of any conflict or inconsistency, the English version shall prevail.
